Ethan.J Design Ltd | Licence Agreement

This licence agreement ("Agreement") is between you ("Licensee") and Ethan.J Design Ltd ("Licensor"), a company registered in the United Kingdom. By purchasing any digital product from ethanjdesignshop.com ("the Store"), you agree to the following terms.

1. What You're Licensing
When you purchase a resource pack from the Store, you receive a non-exclusive, non-transferable licence to use the included digital assets ("Licensed Assets") in your creative work, subject to the terms below.
You are licensing the right to use the assets. You are not purchasing ownership of the assets themselves. Ethan.J Design Ltd retains all intellectual property rights in the Licensed Assets.
2. What You Can Do
You may use the Licensed Assets in the following ways, provided the assets are incorporated into a new creative work and are significantly transformed:
Personal and portfolio use Use in personal design projects, portfolio pieces, and practice work with no restrictions.
Commercial use Use in paid client work, including social media content, campaign graphics, promotional materials, editorial design, and digital marketing assets. The licence covers one business social media account per purchase and a lifetime combined total of up to 5,000 commercial end products.
Broadcast and video Use in video content, motion graphics, and broadcast material up to a lifetime total of 500,000 viewers across all broadcast end products.
Internal and educational use Use in internal business presentations, pitch decks, and training materials.
In all permitted uses, the Licensed Assets must form part of a larger creative work. They cannot be the primary value of the end product on their own.
3. What You Cannot Do
The following uses are not permitted under this licence:
Redistribution You may not share, redistribute, resell, sublicense, or make available the Licensed Assets (or any modified version of them) as standalone files. This includes uploading them to file-sharing services, stock asset platforms, or any marketplace.
Resale as design resources You may not repackage, rebrand, or resell the Licensed Assets as part of another design resource product, template pack, preset collection, or similar offering, whether free or paid.
Print-on-demand You may not use the Licensed Assets in print-on-demand products (e.g. t-shirts, posters, mugs, phone cases) where the asset is a primary design element.
App, web, and game development You may not embed the Licensed Assets in software applications, websites (as downloadable or extractable elements), mobile apps, video games, or any interactive digital product where the assets could be extracted or reused by end users.
National or global advertising campaigns This licence does not cover use in national, multinational, or global advertising campaigns (broadcast, outdoor, or digital). For extended advertising rights, contact contact@ethanjdesignshop.com to discuss a custom licence.
Sublicensing You may not sublicense, assign, or transfer your licence to any other person or entity, except in the limited case of incorporating Licensed Assets into a finished client deliverable produced under the commercial use terms above.
AI and machine learning You may not use the Licensed Assets as training data for artificial intelligence, machine learning models, or any automated content generation system.
4. One Licence Per User
Each licence purchase covers a single individual user. If multiple people in your team or organisation need to use the Licensed Assets, each person requires their own licence purchase.
5. Attribution
Attribution is not required, but it's appreciated. If you'd like to credit, use: "Assets by Ethan.J Design (ethanjdesignshop.com)" or tag @ethanjdesign on social media.
6. Warranty and Liability
The Licensed Assets are provided "as is" without warranty of any kind, express or implied. Ethan.J Design Ltd does not guarantee that the assets will be compatible with every software configuration or meet every specific requirement.
To the maximum extent permitted by law, Ethan.J Design Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Licensed Assets. Total liability under this Agreement shall not exceed the amount paid for the relevant licence.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
7. Termination
This licence is effective from the date of purchase and remains in effect unless terminated.
Ethan.J Design Ltd may terminate this licence if you breach any term of this Agreement. Upon termination, you must stop using the Licensed Assets in any new work and delete all copies in your possession. Work already published or delivered to clients before termination is not affected.
8. Refunds
Because the Licensed Assets are digital products delivered immediately upon purchase, refund requests are handled on a case-by-case basis. If you experience a genuine issue with your purchase, contact contact@ethanjdesignshop.com with your order details.

9. Changes to This Agreement
Ethan.J Design Ltd reserves the right to update this Agreement. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Licensed Assets after changes are posted constitutes acceptance of the updated terms.
Any licence purchased before a change takes effect remains governed by the terms in place at the time of purchase for that specific licence.
10. Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
